Abstrak

Penelitian ini ditujukan untuk mengkaji dan menganalisis secara yuridis implementasi BJR di Indonesia dan bertanggung jawab direksi dalam perseroan. Jenis penelitian ini adalah penelitian hukum normatif dengan pendekatan studi kepustakaan. Adapun metode yang diterapkan adalah menganalisis bahan pustaka tentang hukum primer, sekunder, dan tersier. Hasil penelitian menunjukkan bahwa inti substansi BJR telah diakomodasi dalam Pasal 97 ayat (5) UU PT, prinsip BJR berfungsi sebagai pembuktian perisai untuk melindungi direksi - bersifat tidak mutlak – selama sesuai dengan hukum, anggaran dasar, bebas dari unsur kelalaian berat, serta bebas dari kepentingan pribadi. BJR memberikan keseimbangan yang tepat dan lebih diutamakan dalam memberikan kepercayaan kepada direksi untuk mengambil risiko dalam kebijakan bisnis sekaligus memberikan akuntabilitas terhadap segala risiko yang dirasakan. Perlindungan hukum terhadap kebijakan bisnis yang diterapkan bersifat bersyarat dan hanya dapat diperoleh jika direksi telah bertindak dengan itikad baik, berhati-hati, serta menjadikan kepentingan perseroan sebagai kepentingan utama.
